Overview

Service disputes usually come from vague scope, unclear payment terms and no way out. This template gives small businesses a plain-English draft of a services agreement: the parties, a deliverables schedule with acceptance tests, fees and payment terms, term and renewal, termination, a liability cap, service levels and a signature page.

The sample is a maintenance services agreement between Junipera Manufacturing LLC and a packaging client: a $6,800 monthly retainer for 40 hours, 30-day payment, a 12-month term, 60 days' notice and a liability cap of $122,400. Replace the parties and schedule first, then fees and terms. This is a draft, not legal advice.

Useful for

  • A small service business agreeing scope, a monthly retainer and payment terms with a new client
  • A freelancer or consultant replacing an email thread with a clear agreement before starting work
  • A provider adding a service level, retainer rollover or liability cap to an existing relationship

What's included

  • Cover and parties page with purpose, definitions, working rules and named contacts
  • Services page with a deliverables schedule, acceptance tests and a change-order callout
  • Fees page with package cards, a payment table and explanations of retainer, late payment and expenses
  • Term, renewal and termination clauses with notice periods and what happens on exit
  • Liability, insurance, service levels and confidentiality in a two-column article
  • Signature page with key terms and a guide page for replacing the sample

How to use it

  1. 1

Click Make a copy in Google Docs, then confirm on the Google page. The copy is saved to your own Google Drive.

  2. 2

Replace the parties, registered addresses and effective date, and check each legal name against the company register.

  3. 3

Rewrite the services schedule so each deliverable has a due date and an acceptance test, then enter your fees and payment terms.

  4. 4

Choose the term, renewal and notice periods you can live with, remove clauses you do not use, and send the draft to a qualified lawyer.

  5. 5

Delete the guide page, then share the agreement for signature.

Questions

Is this legal advice?

No. It is a starting draft in plain English. Have a qualified lawyer review it for your state and your risk before anyone signs.

Are the companies and figures real?

No. Junipera Manufacturing, Harlan Packaging, the people named and every fee and date are fictional sample content. Replace them with your own details.

Can I use it for a freelancer or a retainer?

Yes. Change the services schedule, keep the fees, term and termination clauses, and delete the service level and rollover wording if you do not need them.
