Overview

Directors read twenty papers and have one morning to hold management to account. This template puts what they need in the order they need it: the agenda and paper list, then the decisions required, then the chief executive's report, results against budget and forecast, cash and covenants, a KPI dashboard with targets, trends and owners, the principal risks, and finally the papers for decision with numbered resolutions.

It is filled with realistic sample content for a fictional engineering company, Ashgrove Engineering, so you can see how a variance is explained, how a risk shows its movement and how a resolution repeats the recommendation in its paper. Replace the figures with your own, delete what your board does not need and send the pack five working days before the meeting.

  • A management report to an investor board or a lender with covenants to track
  • A decision paper set with matching resolutions for trustees, governors or a committee

What's included

  • Photo cover and a time-boxed agenda with a list of papers and page numbers
  • Decisions required on one page, with the quarter's headline figures
  • Chief executive's report with safety, people and outlook
  • EBITDA bridge chart, key figures table and a budget, forecast and actual variance table with a cause for each material line
  • Cash, facilities and covenant headroom with a cash chart
  • KPI dashboard with targets, trend arrows, owners and red, amber and green status
  • Risk heat map with movement since last quarter and a ten-line risk register
  • Papers for decision with options compared, numbered resolutions with proposer and seconder, and a sign-off box
  • Action log, next meeting dates, an income statement appendix and a make-it-yours guide

How to use it

  1. 1

Click Make a copy in Google Docs, then confirm on the Google page. The copy is saved to your own Google Drive.

  2. 2

On the agenda page set the meeting date, chair and quorum, then list your own papers and update the page numbers last.

  3. 3

Replace the figures on the decisions, results, cash and dashboard pages with your management accounts, and set the dashboard targets from the board-approved budget.

  4. 4

Rewrite the three decisions on page 3, then make each numbered resolution repeat the recommendation in its paper.

  5. 5

Keep only the risks the board asked to see, show last quarter's score beside this quarter's, and delete the covenant section if you carry no debt.

  6. 6

Swap the sample charts for live ones with Insert, Chart, From Sheets, delete the guide page and share the pack with comment access or as a PDF.

Questions

Why are the decisions at the front and not the back?

Directors give their best attention to the first pages. Putting the decisions on page three means meeting time goes on the choices the board has to make, and the results and risks that follow are read as evidence for them.

How early should the board pack be sent?

At least five working days before the meeting. The agenda page has a note for it, and the action page carries the paper deadline for the next meeting so authors know it in advance.

Can I use it for a charity, school or startup board?

Yes. Keep the agenda, decisions, dashboard, risks and resolutions. Charities and schools can replace the covenant section with a safeguarding and compliance log, and a startup can swap in runway, burn and hiring plan on the cash page.

Are the charts editable?

The sample charts are images so they look identical everywhere. Replace them with charts linked to Google Sheets (Insert, Chart, From Sheets) so they update with your data.
