Buying a small business usually starts with a letter that records what both sides intend before lawyers draft the contract. This Google Docs template sets out the price and how it is paid, the deal team, the diligence checklist, the conditions to proceed and a dated timetable, and it keeps binding clauses apart from non-binding ones.
The sample shows Lowmoor Works offering $2,400,000 for a Toledo bookbinder, with 85% paid in cash, 15% deferred, a 45-day review, 60 days of exclusivity and a July 2, 2027 completion. Replace the parties, figures and dates with your deal, then have a lawyer review the draft before anyone signs.
Click Make a copy in Google Docs, then confirm on the Google page. The copy is saved to your own Google Drive.
Replace the buyer, seller, address and date on the cover and in the conditions page with the facts of your deal.
Enter your price, deferred share, deposit and dates on the price and timetable pages, and check that the parts add up.
Edit the conditions and keep only the binding clauses you intend, with their duration, then ask a lawyer to review the draft.
Delete the guide page, then share the document or present it to the seller.
The sample states that most terms are non-binding and lists the few that bind. It is a draft to adapt, not legal advice, so have a lawyer confirm before signing.
Yes. Keep the structure, conditions and timetable pages, and swap the price page for rent, term and rent-free period, or for each partner's contribution.
No. Lowmoor Works, Tillman Bindery, every person and all figures are fictional and exist only for the example. Replace them with your own before sharing.
