Technical Due Diligence Checklist

Investors who buy a software company inherit its technology, its risks and its people, yet a management presentation rarely shows any of them clearly. This template sets out a technical review in nine pages: the summary and recommendation, architecture, code quality, team, security, scalability and red flags. Each finding states what was seen, how serious it is, what it costs to fix and how confident the reviewer is.
The sample reviews the fictional Kingfisher Row Labs, with a $640k cost to fix before close, a payments queue that fails under peak load and two engineers holding most of the core code. Replace the target description, the evidence, the ratings and the cost estimates with your own, then state the recommendation and the conditions you would attach.
Click Make a copy in Google Docs, then confirm on the Google page. The copy is saved to your own Google Drive.
Replace the Kingfisher Row Labs name, the stack and the deal stage with the target you are reviewing.
Rewrite each finding with your own evidence, severity rating, cost to fix and confidence level.
Delete the guide page, state your recommendation and conditions on the summary, then share the report with the committee.
